1. Who we are
Boardmate is provided by Hardyson (Jesper Hardyson, sole proprietorship), Sweden ("Hardyson", "we", "us").
- Email: support@hardyson.se
- Country: Sweden
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
2. Acceptance
By installing, accessing or using Boardmate you agree to these terms. If you use Boardmate on behalf of an organization, you confirm that you are authorized to accept these terms for it, and "you" and "Customer" mean that organization. Boardmate is intended for business use. If you do not agree, do not install or use Boardmate.
3. Definitions
- Boardmate or the Service: the Boardmate for Azure DevOps extension published on the Visual Studio Marketplace, together with the backend service that Hardyson hosts for it.
- Organization: one Azure DevOps Services organization in which Boardmate is installed.
- Active user: a distinct person who used a Boardmate AI feature in the Organization in the last 30 days.
- AI provider: the AI service (for example OpenAI, Azure OpenAI, Anthropic or an OpenAI-compatible endpoint) that the Customer connects to Boardmate with its own API key.
- Customer Content: work items, wiki pages, code, pull requests, prompts and other content that Boardmate reads or produces for the Customer.
4. The Service
Boardmate adds AI-assisted features to Azure DevOps Services, including a chat, field suggestions, work item breakdown and Insights. It works only with Azure DevOps Services (the cloud service), not with Azure DevOps Server. Every call Boardmate makes to Azure DevOps runs with the signed-in user's own token and permissions, and Boardmate writes nothing to Azure DevOps without a user's approval.
We may improve and change the Service over time. We will not materially reduce the core functionality of a paid subscription during its current term.
5. License (EULA)
Subject to these terms, Hardyson grants the Customer a non-exclusive, non-transferable, non-sublicensable license to install and use the Boardmate extension in the Organization and to access the Service, for the Customer's internal business purposes, during the trial or a paid subscription, and up to the Active user limit of the purchased tier. Features that do not use AI (the Insights rule checks, field mapping and usage statistics) may be used free of charge without a subscription for as long as we offer them.
You may not, and may not allow others to:
- copy, modify, translate or create derivative works of the extension, except as the law expressly allows;
- reverse engineer, decompile or disassemble it, except to the extent mandatory law permits this despite this restriction;
- resell, rent, lease, sublicense or provide the Service to third parties as a service bureau;
- circumvent licensing, rate limits or security controls, or access the backend other than through the extension;
- use the Service to build a competing product, or to break the law or the rights of others.
Boardmate is licensed, not sold. Hardyson and its licensors keep all rights not expressly granted.
6. Trial
Each Organization receives one free trial of 30 days with all features, starting at its first use of Boardmate. No payment details are required. When the trial ends, the AI features require a paid subscription; the Customer's settings are kept.
7. Purchases, prices and renewal
- Subscriptions are sold per Organization per year in the tiers shown on our pricing page, by Active users.
- Purchases are made inside the extension and completed in Paddle's checkout. Paddle.com is the Merchant of Record: it sells the subscription to you, collects payment, issues invoices and receipts, and charges VAT or sales tax where applicable. Your purchase is also subject to Paddle's Buyer Terms.
- Prices exclude VAT and sales tax, which Paddle adds where applicable.
- Subscriptions renew automatically for another year unless cancelled before the end of the current period. A cancellation takes effect at the end of the paid period.
- If the number of Active users exceeds the tier's limit, the Customer receives a warning and a 30-day grace period to upgrade. After the grace period, the AI features are paused until the subscription is upgraded. No data is deleted.
- We may change prices for future periods. A price change applies from the next renewal after we have given at least 30 days' notice.
- Refunds are covered by our Refund Policy.
8. Your AI provider
Boardmate uses the AI provider that the Customer's administrator connects. The Customer is responsible for its contract with that provider, including its costs, usage limits, terms and the region where it processes data. Customer Content needed to answer a request is sent to that provider. The AI provider is the Customer's own supplier and is not a subprocessor of Hardyson. The Customer's API key is stored encrypted and used only to call the provider on the Customer's behalf.
9. AI-generated content
AI output can be inaccurate, incomplete or unsuitable. Boardmate labels AI-generated content and asks for approval before writing to Azure DevOps. The Customer and its users are responsible for reviewing output before they use or approve it. Hardyson does not claim ownership of output generated for the Customer.
10. Customer Content and privacy
The Customer keeps all rights to Customer Content. Boardmate processes Customer Content only to provide the Service, in memory, and does not store it. Our Privacy Policy describes the limited data we store, and our Data Processing Agreement forms part of these terms where we process personal data on the Customer's behalf.
11. Acceptable use
The Customer is responsible for its users' activity in Boardmate. Do not use the Service to process content you have no right to process, to send malicious code, to overload the Service or to attempt to access other customers' data. We may apply rate limits to keep the Service available to everyone.
12. Availability and support
We aim to keep the Service available at all times but do not guarantee uninterrupted operation. Maintenance, failures at our hosting providers, Azure DevOps or the Customer's AI provider can cause interruptions. Support is provided by email at support@hardyson.se; we aim to reply within 2 business days.
13. Intellectual property and feedback
Boardmate, including its software, design and documentation, belongs to Hardyson and its licensors. If you send us suggestions or feedback, we may use them without obligation to you.
14. Warranties
We will provide the Service with reasonable skill and care. Except as stated in these terms, and to the extent the law allows, the Service is provided "as is" and "as available", without other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
15. Limitation of liability
To the extent the law allows, neither party is liable for indirect or consequential losses, including lost profits, revenue, data or goodwill. Hardyson's total liability arising out of or relating to these terms in any 12-month period is limited to the amount the Customer paid for Boardmate in that period. These limits do not apply to liability that cannot be limited by law, such as liability for gross negligence or wilful misconduct.
16. Term, suspension and termination
These terms apply while Boardmate is installed or used. The Customer can stop using Boardmate at any time by uninstalling the extension and cancelling any subscription. We may suspend or terminate access if the Customer materially breaches these terms and does not remedy the breach within 14 days of notice, or immediately where needed to protect the Service or other customers. If we discontinue Boardmate, we will give at least 90 days' notice and refund the unused part of any prepaid subscription.
Uninstalling does not delete the data our backend keeps about the Organization. On request we delete it within 30 days, as described in the Privacy Policy.
17. Changes to these terms
We may update these terms. For material changes we give at least 30 days' notice on this page and, where possible, in the extension or by email to the purchaser. The "Last updated" date shows the current version. Continued use after the effective date means acceptance of the updated terms.
18. Governing law and disputes
These terms are governed by the laws of Sweden, without regard to its conflict-of-law rules. Disputes are settled by the courts of Sweden, unless mandatory law gives you the right to bring a claim elsewhere. The purchase itself is between you and Paddle and is governed by Paddle's Buyer Terms.
19. General
If a provision is found unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. The Customer may not assign these terms without our consent; we may assign them in connection with a transfer of the business. These terms, the Privacy Policy, the Refund Policy and the Data Processing Agreement are the entire agreement about Boardmate.
